Job Description

A distinguished global asset management institution is seeking an Associate General Counsel to join its esteemed legal department in New York, NY. The successful candidate will work in close partnership with two registered investment advisers, focusing on private equity fundraising and investments, while engaging collaboratively with business teams and clients at the most senior levels.

Key Responsibilities:
In the capacity of Associate General Counsel - Private Equity and Investment Management based in New York, you will assume a central role in supporting two registered investment advisers dedicated to private equity fundraising and investing. Your daily responsibilities will encompass delivering insightful legal counsel on fund formation matters, negotiating pivotal agreements with various stakeholders, collaborating with compliance professionals on policy formulation, assisting in the introduction of new investment products, advising on mandates alongside internal teams and external counsel, conducting research into pertinent regulatory issues, supporting senior management through clear articulation of legal considerations, participating in cross-functional initiatives requiring advanced regulatory acumen, and remaining informed about industry developments. Success in this post will be defined by your ability to provide practical solutions to complex challenges whilst nurturing robust relationships across business units.

  • Provide considered legal advice regarding the establishment of funds and separate accounts, as well as investment advisory services tailored to private equity funds and institutional separate account clients.
  • Negotiate complex investment advisory agreements and delegation arrangements with both internal stakeholders and external partners, ensuring all interests are appropriately represented.
  • Work closely with the Compliance department to develop, review, and implement policies and procedures that guarantee regulatory adherence throughout all activities.
  • Assist in the creation and launch of innovative investment vehicles and products by offering strategic legal guidance at each stage of development.
  • Advise on mandates by coordinating effectively with both internal colleagues and external counsel to ensure seamless execution of legal strategies.
  • Conduct thorough research on evolving legal, regulatory, and general corporate matters impacting the institutional asset management business.
  • Support senior management by communicating clearly about legal risks, opportunities, and best practices relevant to private equity operations.
  • Contribute actively to cross-functional projects that require a nuanced understanding of securities laws, ERISA rules, and other applicable regulations.
  • Maintain up-to-date knowledge of industry trends, regulatory changes, and market developments affecting private equity investments.


Key Requirements:
To excel as an Associate General Counsel - Private Equity and Investment Management, you will bring substantial experience acquired at a leading law firm where you have addressed complex matters related to private equity or institutional asset management. Your academic credentials will include a Juris Doctor degree complemented by deep familiarity with key securities legislation such as the Investment Advisers Act of 1940. You are adept at managing competing priorities under demanding timelines due to your exemplary organizational skills. Your precision ensures accuracy in every undertaking. Effective communication is one of your hallmarks-whether engaging with senior leaders or collaborating across functions-and your resourcefulness allows you to navigate intricate legal landscapes independently or as part of a supportive team. Your dedication to continuous learning ensures you remain abreast of regulatory developments influencing the industry.

  • A minimum of four years' experience practicing law within a prominent law firm environment where you have developed expertise in private equity or investment management matters.
  • Possession of a Juris Doctor (JD) degree from an accredited institution is required for this position.
  • Demonstrated working knowledge of the Investment Advisers Act of 1940 as well as familiarity with the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and ERISA rules.
  • Proven ability to manage multiple priorities efficiently whilst adapting promptly to changing demands within a dynamic environment.
  • Exceptional organizational skills accompanied by meticulous attention to detail ensure accuracy in all aspects of your work.
  • Outstanding time-management abilities enabling you to prioritize tasks effectively without compromising quality or deadlines.
